Qualifications: The Law Department of Con Edison is seeking a Senior Attorney or Associate Counsel to join to join its Commercial Transactions group. Candidates must have a J.D. degree from an accredited law school and (a) be admitted to the New York State bar or (b) be admitted to practice law in another state and be eligible for registration as in-house counsel pursuant to applicable New York State rules. The successful candidate for the Senior Attorney (band 63) title must possess a minimum of seven years of relevant transactional experience (e.g., structuring, analysis, review, negotiation, drafting, counseling). For the Associate Counsel (band 64) a minimum of ten years of the above referenced experience is required.



Candidates must have a keen knowledge of contract and commercial legal principles. Broad transaction and corporate experience is preferred as the position will be required to handle a variety of transaction and related matters. Learning agility and flexibility is required to understand, address, and advise on the structures, rights and obligations of the transactions to be handled and to shift priorities among transactions competing for the candidate’s time. Candidates must be highly motivated, energetic and demonstrate an unwavering commitment to our Standards of Business Conduct and The Way We Work principles so as to promote a positive work ethic and a customer service focus in furtherance of our corporate values and mission. Candidates must possess excellent interpersonal skills as well as outstanding analytical and written and oral communication skills. Writing samples are required and should include examples of both narrative writing and contract drafting.

Responsibilities: The following responsibilities apply to both positions. Ensure implementation of Company safety, health and environmental programs for employees whose work is directed. Ensure that safe work practices are followed and the environment is fully protected in accordance with Company policy and governmental regulations. Commitment to the Way We Work Principles, and adherence to the Company’s Standards of Business Conduct and other Company procedures including Environmental, Health and Safety (“EH&S”), Equal Employment Opportunity (“EEO”), discipline, and security. As an employee, you need to commit to these ideals of developing a proactive, customer-centric culture to foster trust and confidence among customers and improve value for all our stakeholders. Both positions perform the following functions, as assigned. a) Analyze and structure transactions; b) Review, negotiate and draft contracts and other legal instruments; c) Provide advice and counsel to internal clients, including Company management, on a variety of transactions and transaction-related legal issues; d) Review, analyze and prepare comments on proposed rules, regulations and legislation; e) Perform legal research and write legal memoranda; and f) Perform administrative matters relating to the operation of the Law Department. Note, that while the Sr. Attorney will perform these functions with periodic supervision, the Associate counsel will be expected to perform them with minimal to no supervision (the exception being on a transaction-specific or issue-specific basis due to considerations such as degree of exposure, complexity, sensitivity or novelty).


Physical Requirements: Must have a valid driver’s license. Must be able and willing to travel within Company service territory, as needed. Must be able to participate in the Company emergency management processes and storm plans, as required.

Qualifications: The Law Departments Office of the Secretary is seeking to hire a Senior Attorney to join its team. The successful candidate must be energetic and demonstrate an unwavering commitment to our Code of Conduct and The Way We Work. Must demonstrate a high energy level and promote a positive work ethic and customer service mentality in support of our corporate values and mission. Must possess a Juris Doctor from an accredited Law School. Must be an Attorney in good standing, admitted to the Bar of the State of New York and able to practice law in New York State. Candidate must have 8 years of relevant experience, including working with corporate governance matters and detailed knowledge of Federal, State, New York Stock Exchange and other applicable requirements or other standards with respect to annual meetings, shareholder proposals, proxy statements, board of director committees, reporting of beneficial ownership or securities by Directors and Officers and other corporate governance matters. Must possess excellent presentation, interpersonal and written and oral communication skills.




Responsibilities: The successful candidate will be responsible for handling and providing advice with respect to governance matters, including: - Arrangements for shareholders’ meetings - Monitoring corporate governance developments and compliance with applicable standards - Drafting proxy and other disclosure statements and documents - Responses to shareholder proposals - Director and Officer questionnaires and board of Directors and board committee agendas, resolutions, and minutes - SEC reporting for Directors and Officers The selected candidate will also supervise the preparation and distribution of materials for meetings of board of directors and board committees. Will perform legal research and write legal memoranda. Prepare legal advice memoranda on various corporate governance matters. Participate on team projects on various matters related to the operation of the Office of the Secretary. Provides any other legal service related to the Office of the Secretary and the law department operations. Perform other related tasks and assignments as required.
