Qualifications: The Law Department is seeking a Legal Assistant to provide administrative support for the group. Successful candidate must have a High School Diploma with a minimum of 3-5 years’ work experience in administrative support to senior level management or attorneys in a corporate or legal environment. A Bachelor’s Degree in Business or Paralegal Studies is preferred. Must be able to work well independently or in a team environment. Must be proficient in MS Word, MS Excel and PowerPoint, with the ability to create charts, graphs and spreadsheets, prepare PowerPoint presentations and create electronic databases. Must be detailed-orientated with good analytical skills and ability to efficiently handle multiple tasks and projects with competing priorities and deadlines. Must have excellent listening, verbal and written communication skills, with the ability to communicate effectively and handle internal and external contacts professionally with tact and sensitivity. Must be disciplined, have excellent time management skills and take initiative on projects. Must have strong interpersonal skills as well as exemplary follow-up skills and ability to work effectively with employees at all levels. Must be adaptable to frequent changes in workload and willing to work overtime, with little or no notice, when business needs dictate.




Responsibilities: Review and process Outside Counsel invoices in Law Manager and Oracle. Maintain and organize corporate files (electronic and paper files), including searching, retrieving, and scanning documents into the office imaging system and creating electronic databases. Organize documents and information for litigation or regulatory purposes including responses to discovery or governmental requests. Interact with corporate staff, clients and customers. Perform occasional research. Prepare confidential and sensitive documents and maintain confidentiality with respect to all correspondence in all aspects of the Law Department’s work. Approve exception time for Associate General Counsel direct reports. Perform other related tasks and assignments as required. Ensure implementation of Company safety, health and environmental programs for employees whose work is directed. Ensure that safe work practices are followed and the environment is fully protected in accordance with Company policy and governmental regulations. Be committed to the Way We Work Principles, and adhere to the Company’s Standards of Business Conduct and other Company procedures including Environmental, Health and Safety (“EH&S”), Equal Employment Opportunity (“EEO”), discipline, and security. Qualifications: The Law Departments Office of the Secretary is seeking to hire a Senior Attorney to join its team. Must possess a Juris Doctor from an accredited Law School. Must be an Attorney in good standing, admitted to the Bar of the State of New York and able to practice law in New York State. Candidate must have 8 years of relevant experience, including working with corporate governance matters and detailed knowledge of Federal, State, New York Stock Exchange and other applicable requirements or other standards with respect to annual meetings, shareholder proposals, proxy statements, board of director committees, reporting of beneficial ownership or securities by Directors and Officers and other corporate governance matters. Must possess excellent presentation, interpersonal and written and oral communication skills.




Responsibilities: The successful candidate will be responsible for handling and providing advice with respect to governance matters, including: - Arrangements for shareholders’ meetings - Monitoring corporate governance developments and compliance with applicable standards - Drafting proxy and other disclosure statements and documents - Responses to shareholder proposals - Director and Officer questionnaires and board of Directors and board committee agendas, resolutions, and minutes - SEC reporting for Directors and Officers The selected candidate will also supervise the preparation and distribution of materials for meetings of board of directors and board committees. Will perform legal research and write legal memoranda. Prepare legal advice memoranda on various corporate governance matters. Participate on team projects on various matters related to the operation of the Office of the Secretary. Provides any other legal service related to the Office of the Secretary and the law department operations. Perform other related tasks and assignments as required.

Qualifications: The Law Department’s Mass Torts & Workers Compensation Group is seeking an attorney with expertise in workers’ compensation and related employment matters. The position requires a J.D. Degree from an accredited Law School. Applicants must be an attorney, in good standing and admitted to practice law in New York State. Applicants for the Staff Attorney position must have three years of experience in handling NY State workers’ compensation legal and administrative issues before the New York State Workers’ Compensation Board. Applicants for the Sr. Staff Attorney must have six years of the above referenced experience. Must possess excellent presentation, interpersonal, written and oral communication skills.




Responsibilities: Will ensure implementation of Company safety, health and environmental programs for employees whose work is directed. Ensure that safe work practices are followed and the environment is fully protected in accordance with Company policy and governmental regulations. Draft appeals, briefs, and legal memoranda on complex high-exposure claims and/or review and edit the work of outside counsel. Review and respond to requests for third party settlements. Sr. Attorney applicants should be proficient in calculating Kelly and Burns liens and offsets. Prepare cases for claim reviews with third-party administrator and client organizations. Identify and prepare Company witnesses for testimony at administrative hearings. Ensure compliance with New York State Workers’ Compensation laws and regulations, including self-insurance requirements. Perform other related tasks and assignments as required.
