Qualifications: The Law Departments Office of the Secretary is seeking to hire a Senior Attorney to join its team. The successful candidate must be energetic and demonstrate an unwavering commitment to our Code of Conduct and The Way We Work. Must demonstrate a high energy level and promote a positive work ethic and customer service mentality in support of our corporate values and mission. Must possess a Juris Doctor from an accredited Law School. Must be an Attorney in good standing, admitted to the Bar of the State of New York and able to practice law in New York State. Candidate must have 8 years of relevant experience, including working with corporate governance matters and detailed knowledge of Federal, State, New York Stock Exchange and other applicable requirements or other standards with respect to annual meetings, shareholder proposals, proxy statements, board of director committees, reporting of beneficial ownership or securities by Directors and Officers and other corporate governance matters. Must possess excellent presentation, interpersonal and written and oral communication skills.




Responsibilities: The successful candidate will be responsible for handling and providing advice with respect to governance matters, including: - Arrangements for shareholders’ meetings - Monitoring corporate governance developments and compliance with applicable standards - Drafting proxy and other disclosure statements and documents - Responses to shareholder proposals - Director and Officer questionnaires and board of Directors and board committee agendas, resolutions, and minutes - SEC reporting for Directors and Officers The selected candidate will also supervise the preparation and distribution of materials for meetings of board of directors and board committees. Will perform legal research and write legal memoranda. Prepare legal advice memoranda on various corporate governance matters. Participate on team projects on various matters related to the operation of the Office of the Secretary. Provides any other legal service related to the Office of the Secretary and the law department operations. Perform other related tasks and assignments as required.

Physical Requirements: Must have a valid driver’s license. Must be able and willing to travel as needed. Must be able to participate in the Company’s emergency management processes and storm plans as required.
